During the year, the Nominating Committee held one meeting with an ϋʫdΤ։ࡰึᑘБəɓϣึᙄd̈ࢩ
attendance rate of 71 per cent. The Nominating Committee ଟމϵʱʘɖɤɓfΤ։ࡰึપᑥəɧ
recommended three candidates for admission as Housing Society Τɛ፯уெ֪׀͛eࡗྗා͛ʿඹ
members, namely, Mr Dick Kwok Ngok-chung, Mr Ling Kar-kan and ੶͛̋ɝϓމג։ࡰdϞᗫܔᙄᐏ္
Mr Conrad Fung Kwok-keung, and the recommendations were ԫึҭࡘfΤ։ࡰึ͵ఱ္ԫึeੂБ
approved by the Supervisory Board. The Nominating Committee also ։ࡰึʿ։ࡰึϓࡰٙቃ࠽ৗЪ̈ܔ
made recommendations on the membership rotation and retirement ᙄf
of the Supervisory Board, the Executive Committee, and the various
Committees.
Remuneration Committee 薪酬委員會
The Remuneration Committee acts on behalf of the Executive ᑚཇ։ࡰึ˾ڌੂБ։ࡰึ္࿀גٙ
Committee and oversees the Housing Society’s overall compensation ᑚཇഄଫʿ৷ᄴ၍ଣɛࡰٙڌତʿᑚཇf
strategy and the performance and remuneration of top management ᑚཇ։ࡰึ͵ࠋப္࿀Б݁ᐼࡒੂБᐼ
executives. The Remuneration Committee also oversees succession ԫʿՉ˼৷ᄴ၍ଣɛࡰٙᘱτરf
planning for the Chief Executive Officer and Executive Director and
other top management executives.
There were six members on the Remuneration Committee as at 1 April ࿚Їɚཧɓɖϋ̬˜ɓ˚dᑚཇ։ࡰึ
2017. All members of the Remuneration Committee were non- ϞʬΤϓࡰdΌѩމגٙڢ၍ଣᄴϓ
management members of the Housing Society. At the AGM held on ࡰfɚཧɓɖϋɘ˜ʞ˚ᑘБٙմϋ։
5 September 2017, Mr William Chau Chun-wing stepped down from the ࡰɽึɪdմᕄ͛Ϊʊஹᚃʬϋዄ
Remuneration Committee after serving six consecutive years, and he ᑚཇ։ࡰึϓࡰϾৗd˲ʔΥ༟ࣸΎᐏ
was not eligible for re-appointment. Mr Alvin Mak Wing-sum was ։f͑ಌ͛ɚཧɓɖϋɖ˜ɚɤ
appointed to the Remuneration Committee for a three-year term of ˚ᑘБٙੂБ։ࡰึึᙄɪᐏ։̋ɝᑚ
office at the Executive Committee meeting held on 20 July 2017. The ཇ։ࡰึdಂɧϋf࿚Їɚཧɓɞϋɧ
Remuneration Committee consisted of six members as at 31 March ˜ɧɤɓ˚dᑚཇ։ࡰึϞʬΤϓࡰf
2018.
The Remuneration Committee held two meetings during the financial ᑚཇ։ࡰึ͉ৌ݁ϋܓᑘБՇϣึᙄd
year with an overall attendance rate of 75 per cent. Key areas of review ̈ࢩଟމϵʱʘɖɤʞfϋʫٙ˴ࠅ
in the year included the remuneration policy and annual salary review, ʈЪܼ̍Ꮸൖᑚཇ݁ഄʿආБϋܓᑚږᏨ
compensation for the Chief Executive Officer and Executive Director ীeБ݁ᐼࡒੂБᐼԫʿ৷ᄴ၍ଣɛ
and the top management executives with recommendations made for ࡰٙᑚཇdԨʹϞᗫܔᙄԶੂБ։ࡰึ
approval by the Executive Committee. In addition, a special review on ᄲҭfϤ̮dᑚཇ։ࡰึ͵ఱᐼ္ॴБ݁
the grading and salary structure for the directorate executives had been ɛࡰٙᔖॴʿᑚཇݖආБतйᏨীdԨ
conducted with recommendations made for approval by the Executive ʹϞᗫܔᙄԶੂБ։ࡰึᄲҭf
Committee.
