            Incorporation                                               成立
            Hong Kong Housing Society was established in 1948 and incorporated   ࠰ಥג܊՘ึϓͭ׵ɓɘ̬ɞϋd Ԩ׵
            in 1951 under the Hong Kong Housing Society Incorporation Ordinance   ɓɘʞɓϋ࣬ኽ࠰ಥג܊՘ึجྠૢԷ‘
            (Cap 1059). It is an independent, not-for-profit organisation governed   €ୋɓཧʞɘ௝͍όൗ̅d݊ɓࡈ͟։ࡰ
            by its members.                                             ၍طٙዹͭڢϳлዚ࿴f

            The Housing Society is committed to maintaining high standards of   ג՘ߧɢၪܵ৷˥๟ٙΆุ၍طdԨଉڦ
            corporate governance and recognises that good corporate governance   ίʔᓙᔷᜊٙᐑྤɨdԄλٙΆุ၍ط࿁
            is crucial for its business sustainability in the ever changing   ၪุܵਕ̙ٙܵᚃ೯࢝Їމᗫᒟfၪܵீ
            environment. Transparency and the pursuit of best practices are the   ׼ܓձྼስ௰Գ੬஝݊༺ߧԄλΆุ၍ط
            cornerstones of this commitment.                            ٙਿͩf
            Two-tier Board Structure                                    雙層管治架構

            The Housing Society’s Two-tier Board comprises a Supervisory Board   ג՘ٙᕐᄴ၍طݖ࿴္͟ԫึʿੂБ։ࡰ
            and an Executive Committee. This corporate governance model   ึଡ଼ϓfϤΆุ၍طᅼόਗ਼္࿀ၾᐄ༶၍
            separates the roles of oversight and management of operations. In   ଣٙԉЍʱකfՈ᜗ϾԊd္ԫึࠋபᆽ
            particular, the Supervisory Board determines the mission, vision, core   ͭג՘֚ٙϙeᗴ౻eࣨːᄆ࠽ʿΆุࡡ
            values and guiding principles of the Housing Society; the Executive   ۆiੂБ։ࡰึࠋபՓࠈ༺ߧג՘֚ٙϙ
            Committee sets the strategies and policies to achieve the mission and   ʿͦᅺٙഄଫձ݁ഄiϾ၍ଣᄴۆࠋபੂ
            objectives; and the Management is accountable for the implementation   Б˚੬ุਕɪ֛݅ٙഄଫf
            of the strategies in the business operations.

            The Nominating Committee and the Audit Committee support the   ౤Τ։ࡰึʿᄲࣨ։ࡰึʱй՘п္ԫึ
            Supervisory Board in the areas of membership nomination and   ஈଣ౤Τʿ΂ն։ࡰd˸ʿৌਕజѓձʫ
            admission; and financial reporting and internal control respectively. The   ௅္છഃԫ֝fᑚཇ։ࡰึۆ՘пੂБ։
            Remuneration Committee supports the Executive Committee in the   ࡰึஈଣ዆᜗ᑚཇഄଫʿ৷ᄴ၍ଣɛࡰٙ
            areas of overall compensation strategy and the appointment and   ։΂ʿᑚཇഃԫ֝fੂБ։ࡰึ͵ึίϞ
            remuneration of top management executives. Special committee or   ცࠅࣛϓͭतй։ࡰึאਖ਼பʃଡ଼ఱत֛
            task force may also be established by the Executive Committee as and   ุਕᇍᖚ౤ԶจԈf΢։ࡰึٙϓͭdϞ
            when necessary to advise on specific business areas. Having various   п౤ʺ္ԫึʿੂБ։ࡰึٙࣖଟeᜫՉ
            committees to support the key Board functions increases the Board’s   ਖ਼ءஈଣһࠠࠅٙԫਕdԨ̙̂ʱ೯౨ג
            efficiency, enhances the Board’s focus on high-impact issues, leverages   ՘΢։ࡰٙਖ਼ڗd੻˸һҳɝג՘ٙʈЪf
            specific skills contained within the Housing Society membership, and
            deepens members’ commitment.
