Incorporation 成立
Hong Kong Housing Society was established in 1948 and incorporated ࠰ಥג܊ึϓͭɓɘ̬ɞϋd Ԩ
in 1951 under the Hong Kong Housing Society Incorporation Ordinance ɓɘʞɓϋ࣬ኽ࠰ಥג܊ึجྠૢԷ
(Cap 1059). It is an independent, not-for-profit organisation governed ୋɓཧʞɘ͍όൗ̅d݊ɓࡈ͟։ࡰ
by its members. ၍طٙዹͭڢϳлዚf
The Housing Society is committed to maintaining high standards of גߧɢၪܵ৷˥ٙΆุ၍طdԨଉڦ
corporate governance and recognises that good corporate governance ίʔᓙᔷᜊٙᐑྤɨdԄλٙΆุ၍ط࿁
is crucial for its business sustainability in the ever changing ၪุܵਕ̙ٙܵᚃ೯࢝Їމᗫᒟfၪܵீ
environment. Transparency and the pursuit of best practices are the ܓձྼስ௰Գ੬݊༺ߧԄλΆุ၍ط

Two-tier Board Structure 雙層管治架構
The Housing Society’s Two-tier Board comprises a Supervisory Board גٙᕐᄴ၍طݖ္͟ԫึʿੂБ։ࡰ
and an Executive Committee. This corporate governance model ึଡ଼ϓfϤΆุ၍طᅼόਗ਼္࿀ၾᐄ༶၍
separates the roles of oversight and management of operations. In ଣٙԉЍʱකfՈϾԊd္ԫึࠋபᆽ
particular, the Supervisory Board determines the mission, vision, core ͭג֚ٙϙeᗴ౻eࣨːᄆ࠽ʿΆุࡡ
values and guiding principles of the Housing Society; the Executive ۆiੂБ։ࡰึࠋபՓࠈ༺ߧג֚ٙϙ
Committee sets the strategies and policies to achieve the mission and ʿͦᅺٙഄଫձ݁ഄiϾ၍ଣᄴۆࠋபੂ
objectives; and the Management is accountable for the implementation Б˚੬ุਕɪ֛݅ٙഄଫf
of the strategies in the business operations.
The Nominating Committee and the Audit Committee support the Τ։ࡰึʿᄲࣨ։ࡰึʱйп္ԫึ
Supervisory Board in the areas of membership nomination and ஈଣΤʿն։ࡰd˸ʿৌਕజѓձʫ
admission; and financial reporting and internal control respectively. The ္છഃԫ֝fᑚཇ։ࡰึۆпੂБ։
Remuneration Committee supports the Executive Committee in the ࡰึஈଣᑚཇഄଫʿ৷ᄴ၍ଣɛࡰٙ
areas of overall compensation strategy and the appointment and ։ʿᑚཇഃԫ֝fੂБ։ࡰึ͵ึίϞ
remuneration of top management executives. Special committee or ცࠅࣛϓͭतй։ࡰึאਖ਼பʃଡ଼ఱत֛
task force may also be established by the Executive Committee as and ุਕᇍᖚԶจԈf։ࡰึٙϓͭdϞ
when necessary to advise on specific business areas. Having various пʺ္ԫึʿੂБ։ࡰึٙࣖଟeᜫՉ
committees to support the key Board functions increases the Board’s ਖ਼ءஈଣһࠠࠅٙԫਕdԨ̙̂ʱ೯౨ג
efficiency, enhances the Board’s focus on high-impact issues, leverages ։ࡰٙਖ਼ڗd˸һҳɝגٙʈЪf
specific skills contained within the Housing Society membership, and
deepens members’ commitment.
